Scope of Services
We provide creative and technical 3D design, modeling, rendering, animation, and related digital production services as described in proposals, quotes, statements of work, or written agreements.
Project scope, deliverables, formats, timelines, and fees are defined in the relevant commercial documents for each engagement. Anything outside the agreed scope may require a change request and additional fees.
Client Responsibilities
To deliver work efficiently and accurately, clients are responsible for providing clear project requirements, briefs, and reference materials; supplying accurate source assets such as CAD files, drawings, product photos, brand guidelines, and measurements; responding to feedback requests and making approvals within agreed timelines; ensuring they have the rights to share any materials provided to us; and designating a decision-maker authorized to approve deliverables.
Project Timelines
Estimated delivery dates are based on the information available at the start of a project and the timely receipt of client materials and approvals.
Timelines may be adjusted if the scope changes, source files are delayed or incomplete, feedback cycles take longer than planned, or circumstances outside our reasonable control occur. We will communicate material delays as soon as practicable.
Revisions
Each project includes the number of revision rounds specified in the quote or statement of work. Revisions must remain within the original agreed scope.
Additional revisions, major creative changes, new assets, or scope expansions may be billed separately at our then-current rates or as otherwise agreed in writing.
Pricing and Payment
Pricing is set out in the applicable quote, proposal, or invoice. Unless otherwise agreed in writing:
- A deposit or advance payment may be required before production begins
- Milestone or progress payments may apply for larger projects
- Final deliverables may be released only after outstanding invoices are paid in full
- Late payments may pause production or delay delivery
- Fees are exclusive of applicable taxes unless stated otherwise
Intellectual Property
Unless otherwise agreed in a written contract, Vertical 3D Tech retains ownership of work-in-progress, source files, pipelines, templates, and proprietary methods until full payment is received.
Upon full payment, the client receives the agreed usage rights or ownership of the finished deliverables as specified in the engagement terms. Pre-existing materials, third-party assets, software, and our internal tools remain subject to their original ownership and license terms.
Confidentiality
Both parties agree to keep confidential any non-public business, technical, or creative information shared during an engagement, except where disclosure is required by law or already publicly available. Client project materials are used solely to deliver the agreed services unless written permission is given for broader use.
Portfolio Rights
Unless a project is under NDA or the client requests otherwise in writing, Vertical 3D Tech may showcase completed work in our portfolio, website, case studies, social channels, and marketing materials. If you require that a project remain private, please notify us before production begins or as soon as reasonably possible.
Third-Party Assets
If a project requires third-party models, textures, fonts, stock assets, software licenses, or plugins, the client is responsible for securing and paying for any required licenses unless we expressly agree otherwise in writing. We are not responsible for claims arising from unlicensed or improperly licensed third-party materials supplied by the client.
Limitation of Liability
To the maximum extent permitted by law, Vertical 3D Tech is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business, or data loss, arising from use of the website or our services.
Our total aggregate liability for any claim related to a project will not exceed the fees actually paid by the client for that specific project.
Disclaimer
The website and its content are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.
Creative and technical outcomes depend on the quality of source materials, project requirements, and client approvals. Visualizations are interpretations based on available inputs and may differ from final physical products or real-world conditions.
Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, outages, strikes, illness, war, government actions, supply failures, or third-party service interruptions.
Termination
Either party may terminate an engagement as permitted in the applicable quote or written agreement. Upon termination, the client remains responsible for payment of work completed and approved costs incurred up to the termination date. We may suspend or terminate access to the website or services if these terms are violated or if invoices remain unpaid.
Privacy
Our handling of personal and business information is described in our Privacy Policy and GDPR Compliance page. By using the website or our services, you also acknowledge those policies.
Changes to These Terms
We may update these Terms of Service from time to time. The updated version will be posted on this page. Continued use of the website or engagement of our services after changes are posted constitutes acceptance of the revised terms.
Governing Law
These Terms of Service are governed by the laws of India, without regard to conflict-of-law principles.
